Dear AirTran Airways Crew Member,
On December 13th, 2006, AirTran Airways announced our proposal to merge with Midwest Airlines. Today, we announced additional steps to formalize our commitment to bringing these two great airlines together as one company.
Despite our best efforts to stimulate discussion of the merits of a merger between AirTran Airways and Midwest Airlines, the Midwest management has refused to enter into any dialogue with us on this proposal. As we continue to see compelling value for all Crew Members, Customers, communities and shareholders of both companies in a combination of AirTran and Midwest, we are moving this discussion directly to the Midwest shareholders by announcing a tender offer to purchase all shares of Midwest Air Group.
A tender offer is a process that will allow Midwest shareholders to tender their shares for cash and AirTran stock, subject to certain conditions including the tendering of a majority of shares. The attached Q & A provides additional information about this tender offer for you and your families.
As we have stated, we believe a combined company will create substantial benefits for the stakeholders of both companies. It will allow us to grow faster and make us better able to withstand both the competitive pressures and the economic cycles that affect our entire industry.
We are grateful for the support you have given to AirTran Airways over the last month and your ongoing dedication to the company. Regardless of the outcome of this effort, we look forward to continuing to work with you to execute our strategy of bringing our signature low fares and friendly service to more cities and customers across the United States.
